Terms of Service
Effective Date: April 28, 2026
These Terms of Service ("Terms") govern your access to and use of Nino, a customer relationship management platform operated by Malbec ("Nino", "we", "us", or "our"). By creating an account or using Nino, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use Nino. By using Nino, you represent that you meet these requirements.
2. Account Registration
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must provide accurate information during registration and keep it up to date. Notify us immediately at nino@malbec.team if you suspect unauthorized access to your account.
3. Subscription Plans and Pricing
Nino is offered on a per-user subscription basis. Each team member who accesses Nino requires their own active subscription. The Owner of the workspace is responsible for adding or removing team members and for the resulting charges.
Available plans:
- Lite — $39 per user per month, or annual billing with a 21% discount
- Pro — $99 per user per month, or annual billing with a 21% discount
- Enterprise — Custom pricing for larger firms with bespoke needs
When subscribing to Lite, you receive full Pro features for the first 30 days as an introductory benefit. After day 30, your account automatically continues on Lite at the standard rate. No additional charge applies for the introductory period beyond the regular Lite price.
Pricing is in U.S. Dollars (USD) and is subject to change with at least 30 days advance notice via email.
4. Billing and Payment
Subscription fees are processed by Polar.sh, Inc. ("Polar"), our Merchant of Record. Polar handles all billing, payments, sales tax, and invoicing. By subscribing, you also agree to Polar's terms.
- Monthly plans renew automatically on the same calendar day each month.
- Annual plans renew automatically twelve months after the initial purchase date.
- You may cancel your subscription at any time through your account settings or by contacting nino@malbec.team. Cancellation takes effect at the end of the current billing period.
Failed payments may result in account suspension after a 7-day grace period.
5. Refunds
Refund eligibility is described in our Refund Policy.
6. Acceptable Use
You agree not to:
- Use Nino for any unlawful, fraudulent, or malicious purpose;
- Upload viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to other users' data or to our systems;
- Reverse engineer, decompile, or attempt to extract Nino's source code;
- Resell, sublicense, or redistribute Nino without our written consent;
- Use Nino to send spam or unsolicited communications;
- Misuse the AI assistant ("Nino AI") to generate content that violates third-party rights, applicable law, or our policies.
We may suspend or terminate accounts that violate these rules.
7. Your Data
You retain ownership of all data you submit to Nino, including claims, contacts, files, and communications ("Customer Data"). You grant Nino a limited license to process your Customer Data solely to provide the service.
We process Customer Data in accordance with our Privacy Policy.
8. AI Features
Nino uses third-party large language models (currently Google Gemini and Anthropic Claude) to power its AI assistant. Outputs generated by AI are provided "as is" — you are responsible for reviewing AI-generated content (drafts, summaries, suggestions) before relying on it for business decisions, legal documents, or client communications. Nino is not liable for actions taken based on AI output.
9. Third-Party Integrations
Nino integrates with third-party services (Gmail, Google Calendar, Outlook via Unipile, etc.). Your use of those integrations is governed by the respective providers' terms. We are not responsible for outages, changes, or data handling by those third parties.
10. Service Availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (Supabase, Google, Anthropic, Polar), or force majeure events may cause downtime. We are not liable for service interruptions outside our reasonable control.
11. Termination
You may terminate your account at any time. We may terminate or suspend your account if you violate these Terms, fail to pay, or engage in conduct harmful to Nino, other users, or third parties. Upon termination, your access ends immediately, and your data will be deleted within 30 days unless legal obligations require longer retention.
12. Disclaimer of Warranties
NINO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT NINO WILL BE ERROR-FREE OR UNINTERRUPTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
14. Indemnification
You agree to indemnify and hold Nino harmless from any claims, damages, or expenses arising from your misuse of the service, your Customer Data, or your violation of these Terms or third-party rights.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app at least 14 days before they take effect. Continued use of Nino after the effective date means you accept the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Colombia. Any dispute shall be resolved in the courts of Bogotá, Colombia. If you reside in a jurisdiction with mandatory consumer-protection laws, those laws still apply where required.
